# NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (the "Agreement") is entered into by and between:
- **Party A:** Company A Corp
- **Party B:** Contractor B

(Collectively referred to as the "Parties", or individually as a "Party").

### 1. Purpose
The Parties wish to explore a potential business relationship concerning **evaluating a potential business partnership and technology integration** (the "Purpose"). In connection with this Purpose, confidential and proprietary information may be shared.

### 2. Definition of Confidential Information
"Confidential Information" refers to any non-public information, technical data, trade secrets, software code, customer data, financial forecasts, or business plans disclosed by one Party to the other, whether orally, in writing, or electronically, marked or identified as confidential.

### 3. Obligations of Receiving Party
Both Parties agree to hold all Confidential Information received from the other Party in strict confidence and not to disclose it to any third party without prior written consent.
The Receiving Party shall:
- Protect Confidential Information using at least the same degree of care it uses for its own sensitive data (and no less than reasonable care).
- Restrict disclosure solely to employees, contractors, and legal advisors who have a strict need to know.
- Not use Confidential Information for any purpose outside the authorized Purpose.

### 4. Term and Duration
The obligations of confidentiality under this Agreement shall remain in effect for a period of **2 Years** following the date of disclosure.

### 5. Return of Information
Upon written request or termination of the business discussions, the Receiving Party shall promptly return or certify the destruction of all tangible materials containing Confidential Information.

### 6. Governing Law & Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of **Delaware, United States**.
